Section 1: Introduction

1.1 About the Company

Nathan Health Plus is a brand of Nathan Groups India Private Limited.

It operates as a B2B (Business to Business) digital pharmaceutical marketplace connecting Government of India licensed Wholesale Drug Dealers with Retail Pharmacy Owners, Wholesale Drug Dealers, and Registered Medical Professionals.

1.2 Purpose of the Platform

The Nathan Health Plus platform provides the following facilities to sellers:

  • Sell your products directly to 30,000+ pharmacies.

  • 24/7 Order Management via Mobile App.

  • Next-day Delivery via Nathan Logistics.

  • Next-day Payment for COD/Online orders.

  • 100% Credit Risk Protection.

  • Free GST Billing Solution.

💡 Example: XYZ Wholesale Drug Dealer from Salem registers on the Nathan Health Plus platform and sells their products to 30,000+ pharmacies across Tamil Nadu and Puducherry. No worries about payment collection!

Section 2: Definitions

The terms used in these Terms and Conditions are defined as follows:

Refers to Nathan Groups India Private Limited and its brand Nathan Health Plus.

"Platform"

Refers to the Nathan Health Plus website (www.nathanhealthplus.com) and Mobile Application (Android/iOS).

"Seller" / "You" / "Your"

Refers to a Drug Wholesale Dealer licensed by the Government of India.

"Buyer"

Refers to Retail Pharmacy Owners, Doctors, or other authorized entities registered on the platform.

"Products"

Refers to Medicines, Medical Equipment, Healthcare Products, OTC Medicines, Schedule H/H1/X Drugs, FMCG Goods, and related items listed on the platform.

"Subscription Plan"

The package plan chosen by the Seller - Silver, Gold, Diamond, Platinum, or FMCG plans.

"Commission"

5% Service Charge payable to the company for every sale.

"COD"

Cash on Delivery.

"EWI"

Easy Weekly Installments - Credit-based installment system for buyers. Sellers are paid in two installments within 60 days.

"RTO"

Return to Origin - Undelivered items returning to the source.

"Drug License"

Wholesale Drug License (Form 20B/21B) issued by the State Drug Controller.

Section 3: Seller Registration & Documents

3.1 Who can register as a Seller?

  • Must be a Government of India licensed Wholesale Drug Dealer.

  • Must hold a valid Drug License (Form 20B/21B).

  • Must have a valid GST Registration.

  • Trade License (If applicable).

3.2 Documents Required for Registration

3.3 Registration Process (Steps to Become a Business Partner)

  1. Apply Online: Fill the online application form and upload all documents.

  2. Verification: Our verification team will verify the documents.

  3. Account Created: After successful verification, your account will be created.

  4. Add Subscription: Choose the Subscription Plan that suits your needs.

  5. Add Product: List your products.

  6. Get Orders: Receive orders from 30,000+ customers.

  7. Shipment: Fast delivery via Nathan Logistics.

  8. Payment: Next-day payment for COD/Online orders.

Section 4: Fake Documents & Rejection

⚠️ WARNING: Submitting fake or altered documents is illegal and will lead to severe legal action.

4.1 What constitutes Fake Documents?

  • Editing an expired Drug License to show it as renewed.

  • Using someone else's documents.

  • Altering the GST Number or License Number.

  • Modifying documents using Photoshop or other software.

  • Mentioning a non-existent shop address.

4.2 What happens if Fake Documents are detected?

  • Immediate Rejection: Registration application will be rejected immediately.

  • Permanent Ban: You cannot re-register using your Mobile Number, Aadhaar, or PAN.

  • Legal Action: Legal action will be taken under the Drugs and Cosmetics Act and IT Act.

  • Complaint: A complaint will be filed with the relevant State Drug Controller and Police.

❌ Wrong Example: Mr. Rajesh uploaded his Drug License by changing the date in Photoshop because it had expired. Our verification team detected this, rejected his application, and reported it to the Drug Inspector. This is a punishable offense under IPC Section 420 (Cheating).

Section 5: Product Listing & Subscription Plans

5.1 Listing Requirements

  • Product Name

  • Manufacturer Name

  • Composition / Salt

  • Pack Size

  • MRP and Selling Price

  • Expiry Date

  • Product Images (Clear, real images only)

📌 IMPORTANT: Nathanhealthplus reserves the right to modify details other than the price. If there is a discrepancy between the image on the website and the delivered product, the account will be permanently cancelled.

5.2 Subscription Plans

To list products on the platform, you must choose a Subscription Plan that suits your needs.

📌 IMPORTANT: Subscription fees are Non-Refundable. To list more products than the specific limit in a plan, you must upgrade to the next level plan.

5.3 Pricing Rules

  • Must not sell above the fixed MRP.

  • Prior permission from the company is required to change prices.

  • Must not sell illegal or banned items.

  • Must not list Fake or Duplicate products.

Section 6: Medical Equipment Seller Terms

6.1 Warranty

✅ Showroom Warranty (Brand Warranty)

🔧 Wholesaler Warranty (Seller Warranty)

Can be claimed at the Brand's official service center.

Can be claimed only through the Seller (You).

6.2 Responsibility

  • The Seller is fully responsible for incorrect warranty information.

  • The Seller must resolve customer complaints.

  • The Company acts only as a Communication Bridge.

Section 7: Repacking Policy

Nathanhealthplus reserves the full right to collect products from different wholesalers and repack them into a single box for the convenience of pharmacy owners.

Section 8: Payment & Transaction Settlements

8.1 Commission Rate

5% of Sales Value

A 5% Commission (Service Charge) will be collected by the company for every sale. This amount will be automatically deducted from the amount payable to you.

8.2 Payment Schedule

Next-day Settlement: Balance amount (minus 5% commission) will reach your bank account the day after delivery.

💳 Online Payment

Next-day Settlement: Payment will be made the day after delivery.

📅 EWI (Credit Billing)

Two installments within 60 days:
Day 30: 50%
Day 60: 50%
NHP bears 100% Credit Risk.

 

✅ COD/Online Payment Example: Mr. Karthik sold products worth ₹10,000 via COD. Commission = ₹10,000 × 5% = ₹500. Net Amount = ₹10,000 - ₹500 = ₹9,500. The next day, ₹9,500 was credited to his bank account.

8.3 EWI Credit Billing - Credit Assurance for Sellers!

Section 9: Order Cancellation & Seller Responsibilities

9.1 Circumstances for Seller Order Cancellation

  • Product Out of Stock

  • Price Errors

  • Product Damaged Condition

  • Expiry Date Issues

⚠️ WARNING: Excessive order cancellations (frequent cancellations) will lead to account suspension. Orders cannot be cancelled after Shipment.

9.2 Seller Responsibilities

  • Must continuously update stock status.

  • Must keep goods ready within the specified time once the order is confirmed.

  • Must not provide false information.

  • Must respond immediately to customer complaints.

Section 10: Shipping & Logistics Policy

10.1 Nathan Logistics Service

  • Dedicated logistics team: Doorstep Pickup.

  • Flat ₹20 fee per order: Same fee regardless of the number of boxes.

  • Guaranteed next-day delivery: With Real-time tracking.

  • Open Box Delivery: Customer can verify.

10.2 Packing Requirements

  • Goods must be securely packed and kept ready once the order is confirmed.

  • Sticking a 'Fragile' sticker is mandatory for breakable items like glass.

  • Proper refrigeration packing is essential for Cold Chain products.

10.3 Damage Compensation

  • If goods are damaged due to accidents or natural disasters, the company accepts responsibility and will provide compensation within 100 days.

Section 11: Delivery Terms

11.1 Delivery Failure Statuses

  • If the customer is unavailable, the item will be kept at the office for 10 days.

  • If not collected after that, it will be returned to the seller (RTO).

  • Complete reverse logistics management - No additional charges for return processing.

11.2 Open Box Delivery

  • Since we offer 'Open-box delivery', the customer can verify the goods at the time of delivery. Therefore, complaints of 'Missing Items' cannot be accepted.

Section 12: Returns and Replacements

12.1 Return Conditions

The Seller must accept items returned by the buyer for the following reasons:

  • Expiry date is less than 100 days.

  • Damaged product.

  • Wrong product (If a different product was sent than what was ordered).

12.2 Replacements

  • If a customer reports damaged or wrong items within 24 hours, the Seller must immediately send replacement goods.

Section 13: Offers, Rewards & Coins

13.1 Nathan Health Plus Coins

  • The Seller can create offers for their products using 'Nathan Health Plus Coins'.

  • Customers will earn coins when they buy your products.

  • Fulfilling the offers is the sole responsibility of the Seller.

Section 14: Advertising Terms

14.1 Advertising Conditions

  • Illegal or misleading advertisements are not allowed.

  • Must comply with Drugs and Cosmetics Act rules.

  • The Seller is solely responsible for the content of the advertisement.

Section 15: Account Suspension & Termination

15.1 Reasons for Account Suspension

  • Submitting fake or altered documents.

  • Failure to renew expired Drug License.

  • Violation of terms, fraud, or illegal activities.

  • Continuous order cancellations.

  • Selling Fake or Duplicate products.

Section 16: Policy Updates

  • Nathanhealthplus reserves the right to change these terms at any time.

  • Major changes will be notified via SMS, Email, or App Notification.

  • Continued use of the platform after changes will be considered as acceptance of the updated terms.

Section 17: Governing Law & Jurisdiction

  • These terms shall be governed by Indian laws.

  • Disputes shall be subject to the exclusive jurisdiction of the courts in Salem, Tamil Nadu.

  • Applicable Laws: Drugs and Cosmetics Act 1940, IT Act 2000, Consumer Protection Act 2019, Indian Contract Act 1872.
